Capital markets law is a comparatively young body of law. Unlike other areas of the law which have developed organically over time, the legal framework of capital markets has been meaningfully shaped by lawmakers seeking to correct incongruous developments stemming from market behavior. Resultingly, some areas of the law are only partially dogmatically harmonious, and high court legal opinion is significantly more influential in the evolution of capital markets law than would be seen in other areas. Lawyers, judges, academics and students engaged with capital markets cannot solely rely on the relevant statutory provisions, but must consult a range of relevant court decisions. This casebook offers a concise collection of the 50 foundational cases and underlying themes in the field, and thus serves both newcomers as well as seasoned practitioners as an easy and convenient reference for daily use.
